What these terms cover

These terms apply when you use bypaso.com, the founder portal, or the materials and guides Paso publishes (together, "the Services"). "Paso", "we" and "us" mean PASO LABS LLC. "You" means the person or company using the Services.

If you have a signed engagement letter or master services agreement with Paso, that agreement governs your engagement and prevails over these terms where the two differ. These terms cover the Services themselves.

What Paso does, and does not do

Paso works with founders on the right product at the right time. The scope, deliverables and fees of any engagement are set only in a signed engagement letter.

Paso is not a broker-dealer, an investment adviser, a law firm or an accounting firm. Nothing on the Services is investment, legal, tax or accounting advice. Paso does not guarantee that you will raise capital or reach any outcome, and no page, message or conversation creates such a commitment. Any financing-related term exists only in a signed contract.

Nothing on the Services is a price quote or an offer. Fees are stated in your engagement letter.

Your access

Sign-in is by a link sent to your email address. You are responsible for keeping that email account secure and for activity that occurs through your access. Access to a portal or a shared page is personal to the person it was issued to; do not forward sign-in links or shared-page links.

Your materials and Paso's work

The materials you submit remain yours. You give Paso a limited license to store, read, analyze and reproduce them to provide the Services to you and for no other purpose. You confirm that you have the right to share what you submit.

We treat the materials you submit as confidential and do not disclose them to third parties without your prior written consent, except to the providers named in the Privacy Policy or where the law requires.

Deliverables Paso creates specifically for you become yours when the fee for the term in which they were delivered is paid. Paso keeps all rights to its methods, frameworks, templates, tools and infrastructure; where any of those are incorporated into a deliverable, you receive a non-exclusive, non-transferable license to use them for your own internal business purposes during the service term. Paso may use anonymized, non-attributable patterns and learnings from engagements to refine its methods, frameworks and tools, without disclosing your confidential information. Where your engagement letter or master services agreement says otherwise, it prevails.

Paso's content

The guides, pages and other content Paso publishes are Paso's. You may read them and share links to them. You may not reproduce them in your own product or use Paso's name or marks without written permission.

Acceptable use

Do not use the Services to submit materials you have no right to share, to scrape or bulk-download content, to probe or disrupt the Services, or in a way that breaks the law. We may suspend or end access that does.

Ending access

You can ask us at any time to close your access; the Privacy Policy says how to ask for deletion and what is kept. We may suspend or end your access to the Services with notice, and without notice where needed to protect the Services or other clients.

Disclaimers and limits

The Services are provided as they are and as available, without warranties of any kind. Paso's total liability arising out of the Services is limited to the fees you paid Paso in the twelve months before the claim, and Paso is not liable for indirect, incidental or consequential loss. Where your engagement letter or master services agreement sets a different limit, it prevails.

Governing law and disputes

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. A dispute is first submitted to good-faith mediation; if mediation fails, it is resolved by binding arbitration before a single arbitrator under the American Arbitration Association's Commercial Arbitration Rules, seated in San Francisco, California, in English. Where your engagement letter or master services agreement provides otherwise, it prevails.

Changes are posted on this page with a new effective date.
